Executive compensation is a critical issue both for Board Compensation Committees determining compensation packages and for executives receiving them. The Obama Administration’s agenda includes major changes in executive compensation. These changes include higher taxes; shareholder advisory votes on pay packages; broader disclosure; tougher enforcement; and control over bonuses in companies receiving government funds. Executives are focused on total compensation, salary, bonuses, clawbacks, performance incentives, benefits, retirement, and severance. Thus, Boards and Compensation Committees are challenged with balancing the need to attract and retain talented top management with the demands of investors, and in an ever-increasing disclosure and enforcement environment.
